Early Access Terms of Service

In short: Kai Sanctuary is in Early Access — an invite-only testing period. Kai is an AI, not a person, and not a therapist or doctor. This is not a medical, mental-health, or crisis service — if you are in crisis, call or text 988 (U.S.) or your local emergency number. You must be 18 or older and a U.S. resident to participate. Early Access is free, experimental, and will break sometimes. You own what you write and what Kai writes back to you. When we launch publicly, these terms will be replaced with full Terms of Service, and we'll ask you to accept them.

These Early Access Terms of Service ("EA Terms") govern your use of the Kai Sanctuary websites, applications, and related services (the "Services") during the invite-only Early Access period. The Services are operated by Mirrorcraft LLC, an Arizona limited liability company, d/b/a "Kai Sanctuary" ("we," "us," "our"). By accepting an Early Access invitation, creating an account, or using the Services, you agree to these EA Terms and to our Early Access Privacy Notice. If you do not agree, do not use the Services.

1. Early Access — what that means

The Services are a pre-release product under active development. Features may be incomplete, change without notice, misbehave, or be removed. We may suspend or discontinue the Services, or reset accounts and data, as testing requires — where practicable we will give you notice and an opportunity to export your data first (Section 7). Your feedback is the point of Early Access: by providing feedback, suggestions, or bug reports, you grant us the right to use them without restriction or compensation.

2. Eligibility — adults only (18+), U.S. residents

You must be at least 18 years old and a resident of the United States to use the Services during Early Access. There are no exceptions and no parental-consent alternative. By using the Services you represent and warrant that you are 18 or older, a U.S. resident, and legally able to enter into these EA Terms. Early Access is invitation-only; your invitation is personal and may not be shared or transferred. If we know or reasonably suspect that a user is under 18, we will immediately suspend or terminate the account and delete its personal information. Misrepresenting your age is a material breach of these EA Terms. Companion-style AI chat services may not be suitable for some minors — one of the reasons the Services are strictly adult-only.

3. Kai is an artificial intelligence

KAI IS AN ARTIFICIALLY INTELLIGENT SYSTEM. KAI IS NOT A HUMAN BEING, AND NO HUMAN IS COMPOSING KAI'S RESPONSES. A persistent notice of Kai's artificial nature is displayed in the product throughout your conversations. Kai is not a licensed physician, psychologist, psychiatrist, therapist, counselor, social worker, or any other licensed professional, holds no license or credential, and is designed never to claim otherwise. No conversation with Kai creates a professional–client, physician–patient, or therapist–patient relationship. AI-generated output may be inaccurate, incomplete, or inappropriate for your situation — this is inherent to current AI systems and more likely in a pre-release product.

4. Not medical, mental-health, therapeutic, or crisis services

READ THIS SECTION CAREFULLY.

THE SERVICES ARE PROVIDED FOR PERSONAL REFLECTION, SELF-KNOWLEDGE, AND GENERAL WELLNESS PURPOSES ONLY. THEY ARE NOT MEDICAL CARE, MENTAL-HEALTH CARE, PSYCHOTHERAPY, COUNSELING, TREATMENT, DIAGNOSIS, OR PROFESSIONAL ADVICE OF ANY KIND, AND THEY ARE NOT A CRISIS-INTERVENTION, SUICIDE-PREVENTION, OR EMERGENCY SERVICE. The Services are not monitored by humans in real time and cannot call for help on your behalf.

If you are experiencing a mental-health emergency, are in danger, or are considering harming yourself or others: stop using the Services and get human help immediately. In the U.S., call or text 988 (Suicide & Crisis Lifeline) or call 911.

Sharing your thoughts and feelings — including about your emotional life and mental wellbeing — is an expected part of using a reflective product like Kai Sanctuary and does not violate these EA Terms. What these EA Terms prohibit is relying on the Services for diagnosis, treatment, clinical monitoring, or crisis response. You acknowledge that you have read this Section, that you will seek qualified human professionals for medical or mental-health needs and human emergency services in any crisis, and that these acknowledgments are a condition of your access.

5. Your content and Kai's output

You retain ownership of the content you submit ("Content"). You grant us a non-exclusive, worldwide, royalty-free license to host, store, reproduce, and process your Content solely to provide, maintain, secure, and improve the Services; this license ends when your Content or account is deleted, except for limited backup and legal-hold retention described in the Early Access Privacy Notice. We do not use your private Content to train AI models. As between you and us, we assign to you our right, title, and interest in the output Kai generates for you; similar output may be generated for other users, and the assignment does not extend to the models, software, or Kai's name, persona, or branding.

You will not submit Content that is illegal, infringing, or harassing; that involves harm to minors in any way; that contains malware or attempts to disrupt the Services; or that solicits instructions for violence, self-harm, or other wrongdoing. We may review, remove, or restrict Content or accounts that violate these EA Terms or create safety risks. Copyright complaints: legal@kaisanctuary.com.

6. Acceptable use

You will not: violate any law; attempt to reverse engineer the Services, extract model weights, or bypass technical or safety safeguards; access the Services by automated means or scrape data from them; attempt to access another user's account, data, or Content, including via prompt injection; impersonate any person or misrepresent output as human-authored professional advice; use the Services to provide therapy, counseling, or medical services to any third party; or use the Services or output to develop competing AI models.

7. Memory, deletion, and export — during Early Access

Kai maintains a persistent memory system so it can remember across sessions. During Early Access, your controls are: you can delete individual memories Kai holds about you from within the product; you can ask Kai to exclude patterns you don't want used; you can delete conversations from your account view; you can use Whisper Mode for conversations excluded from memory entirely (no history, summaries, or memory entries); and you can request a full reset of your account data or an export of your data by contacting support@kaisanctuary.com. We honor deletion and export requests to the extent technically possible and are building complete self-serve deletion and export tooling during Early Access — residual copies of deleted material may persist in internal systems and encrypted backups during this period. The Early Access Privacy Notice describes all of this in detail and controls if the two documents differ.

8. Price

Early Access is currently free of charge. If we introduce paid features, subscriptions, or credits, they will be offered under separate terms presented at purchase, and nothing will convert your free access into a paid obligation without your affirmative consent.

9. Disclaimers; assumption of risk

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES AND ALL OUTPUT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS, IMPLIED, OR STATUTORY — AND WITHOUT ANY WARRANTY THAT THE SERVICES ARE FIT FOR MEDICAL, MENTAL-HEALTH, THERAPEUTIC, OR CRISIS PURPOSES; THEY ARE NOT. You knowingly and voluntarily assume the risks of relying on AI-generated output and of using a pre-release product, and you release Mirrorcraft LLC, Kai Sanctuary, and their officers, members, managers, employees, and agents (the "Released Parties") from claims arising out of the risks you have assumed. This Section does not release claims arising from our gross negligence, willful misconduct, or fraud, or claims for death or personal injury caused by our negligence, and nothing in these EA Terms limits rights that applicable law does not allow to be limited.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW: (A) NEITHER PARTY IS LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOSS OF PROFITS, DATA, OR GOODWILL; AND (B) OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES WILL NOT EXCEED US $100 (Early Access is free). These limitations do not apply to death or personal injury caused by our negligence, to our gross negligence, willful misconduct, or fraud, or to statutory damages or remedies that applicable law does not permit to be limited or waived.

11. Indemnification

You agree to indemnify and hold harmless the Released Parties from third-party claims and expenses (including reasonable attorneys' fees) arising out of your Content, your violation of these EA Terms or applicable law, your misrepresentation of your age, or your use of output as professional advice. This Section does not apply to claims arising from our own gross negligence, willful misconduct, fraud, or violation of law.

12. Suspension and termination

You may stop using the Services and request account deletion at any time via support@kaisanctuary.com. We may suspend or terminate your access if we reasonably believe you have materially breached these EA Terms (including the age and residency requirements in Section 2), created a risk of harm to any person, or used the Services unlawfully — or as part of managing the Early Access program. Upon termination other than for breach involving illegality or danger, you may request an export of your data (Section 7) before deletion proceeds. Sections 3–5 (final sentence), 6, and 9–14 survive termination.

13. Governing law; dispute resolution; arbitration; class waiver

This Section affects your rights. You may opt out (below). These EA Terms are governed by Arizona law, without regard to conflicts rules, except that this choice of law does not deprive you of mandatory consumer protections of the state where you reside. Before initiating any proceeding, you and we agree to attempt informal resolution in good faith for 60 days after written notice to legal@kaisanctuary.com. Except for individual claims in small claims court and claims for injunctive relief that cannot be arbitrated by law, any dispute arising out of these EA Terms or the Services will be resolved by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, by videoconference or in the county where you reside; we will pay fees as the AAA Consumer Rules require. Claims may be brought only in an individual capacity — not in any class, consolidated, or representative proceeding. This waiver does not limit your right to seek public injunctive relief in court where that right cannot be waived. You may opt out of this arbitration agreement and class waiver, without penalty, by emailing legal@kaisanctuary.com within 30 days of first accepting these EA Terms, stating your name, account email, and intent to opt out. Any dispute not subject to arbitration will be resolved in the state or federal courts in Maricopa County, Arizona.

14. Changes; transition to full Terms

We may update these EA Terms during Early Access with notice by email and in-product; material changes to this Section 13 or to your data controls take effect only upon your affirmative acceptance. At public launch, these EA Terms will be replaced by full Terms of Service — we will give you at least 30 days' notice and ask you to accept them; if you do not, your Early Access ends and you may export your data first.
